Why is a Convertible Loan Agreement (CLA) a smart choice for investments up to 500K EUR?

Negotiating CLAs is much quicker than negotiating an equity round, with all preferential rights in the shareholders’ agreement and extensive due diligence. It’s fast, simple, and saves on legal fees—perfect for early-stage startups raising their first rounds or bridging two equity rounds.
How does the conversion from loan to equity work in a CLA?

Your convertible loan converts into equity when you close a future funding round (this is the default). In consideration for the early funding, investors typically receive a discount or a lower (fixed) valuation. This rewards your early investors by securing them a lower share price for backing your startup early.
What's the difference between pre-money and post-money valuations?

Pre-money valuation is your startup’s value before receiving new investments (i.e. what is your company worth today). Post-money valuation is the total after adding the investment amount (i.e. what is your company worth after you have received the funding). However, the key difference is in the calculation of the dilution. With a pre-money valuation, the investors get diluted by additional investors investing in the same round. With a post-money valuation, the stake of the investors is fixed and any additional investment only dilutes the founders. For example, an investment of 100 at 1.000 post-money valuation fixes the stake of the investor at 10% (after the round).
