A SAFT – simple agreement for future token – is a contract to raise funds for the development of a project in return for future tokens. The SAFT lays out in detail the terms for the purchase amount, the number of future tokens to be delivered to the buyers, the time of delivery etc. A SAFT can be compared to more traditional financing instruments such as simple agreements for future equity (SAFE) or convertible loans.
SAFTs are often the first step for early-stage crypto, blockchain, DeFi and web3 companies to collect the necessary capital for the development of their products. Later on, projects will usually go on to raise additional funds through a public ICO/IDO/IEO etc.
Under Swiss law, the private placement of tokens as well as the issuance of a SAFT is not limited to qualified investors. KYC is either necessary or highly recommended, depending on token type, and some restrictions apply to the nationalities of investors.
