Employee Stock Options and Phantom Stock Options

Decide and execute on the right plan

The biggest part of setting up an employee participation plan is strategic planning. We help you understand the key variables and tax impacts of the different participation plans so that you can make the best decision for your company and its scalability.

Participation plan set-up process with LEXR

  1. 1
    Expert Session

We’ll deep dive into the strategic goals and potential implications of the plans.  Based on our experience with numerous ESOP & PSOP set-ups every year, we’ll give you not only the theory but also practical insights and how market standards are evolving.

  2. 2
    Contract drafting

We draft your legal documents with the inputs from our session. As a basis, our time-tested legal documentation developed with 100+ startups ensures you’re up to date with the latest development in the startup & VC world.

  3. 3
    Document cross-check

With the introduction of a compensation scheme, existing legal documents must be checked to determine whether existing clauses are compatible or need to be adjusted.  We’ll review your corporate documents and let you know whether and where changes need to be made.

  4. 4
    Feedback

In the feedback cycle included in this package, we’ll answer all your open legal questions on the plan and adjust the legal documentation as required. After this cycle, we’ll deliver the final legal documentation for your compensation scheme.

  5. 5
    Plan management

Setting up a compensation plan is the first step in your company’s ESOP / PSOP journey.  We’ve included a comprehensive management guide in this package so that keeping things up to date and meet deadlines is easier for you.

ESOP Addition: Tax Ruling

An allocation of shares to an employee usually leads to a so-called non-cash benefit, which is treated the same as a salary for tax purposes and from the perspective of social security contributions.

To plan the tax and social security implications of allocating shares for the employee and the company, we recommend a tax ruling with the competent tax authority.

We offer the tax ruling together with the ESOP at hourly cost (usual fees CHF 800 – 2’000).
